Welcome to Clinical Formula® (“Clinical Formula,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, products, services, and any interactive tools, including our AI Skin Analysis experience (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility
You represent that you are at least 18 years old, or the age of majority in your jurisdiction if greater, and that you have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business or other entity, you represent that you are authorized to bind that entity to these Terms.

2. Privacy; AI Skin Analysis Notice
Your use of the Services is also subject to our Privacy Policy and, where applicable, our AI Skin Analysis Notice, which are incorporated into these Terms by reference. If you use our AI Skin Analysis experience, you understand that separate consent may be required before the analysis begins.

3. Permitted Use
You may use the Services only for personal, lawful, non-commercial purposes. You may not copy, modify, distribute, reverse engineer, scrape, interfere with, or misuse the Services, nor may you attempt to access data, accounts, or systems you are not authorized to access.

4. Accounts and Submitted Information
If you create an account, request emailed results, or otherwise submit information to us, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account or session to the extent permitted by law.

5. Product and Routine Recommendations
Any product recommendations, routine suggestions, educational content, or AI-generated outputs are provided for general cosmetic and informational purposes only. They are not medical advice, do not diagnose or treat disease, and do not replace consultation with a licensed physician, dermatologist, or other qualified healthcare professional.

6. AI Skin Analysis Tool
If you use the AI Skin Analysis tool, you understand and agree that: (a) the tool analyzes an image you provide in order to generate cosmetic skincare insights and product recommendations; (b) the tool may process information derived from your image, including facial landmarks, facial geometry, or similar image-derived data that may be considered biometric information, sensitive personal information, or consumer health data under certain laws; (c) the tool is intended solely to support skincare-product matching and consumer education; (d) the tool is not intended for identity verification, medical diagnosis, emergency use, or high-risk decision-making; and (e) your use of the tool is subject to the disclosures, retention practices, and consent terms described in our Privacy Policy and AI Skin Analysis Notice.

7. No Warranty on Results
We do not guarantee that any recommendation, score, or result generated by the Services will be accurate, complete, or appropriate for your individual skin, health status, or preferences. Results may vary based on image quality, lighting, user inputs, device performance, and other factors.

8. Intellectual Property
The Services, including all content, code, text, graphics, interfaces, trademarks, logos, product names, tool outputs, and overall design, are owned by or licensed to Clinical Formula and are protected by intellectual-property and other laws. Except for the limited right to use the Services for personal purposes under these Terms, no right, title, or interest is transferred to you.

9. Feedback
If you provide ideas, comments, suggestions, or other feedback regarding the Services, you grant Clinical Formula a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and otherwise use that feedback without compensation or restriction, except where prohibited by law.

10. Purchases and Subscription Features
Additional terms may apply to purchases, subscriptions, memberships, rewards, returns, promotions, and bundled offers. In the event of a conflict between those supplemental terms and these Terms, the supplemental terms will control as to the specific feature or offer.

11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, OR ACCURACY.

12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLINICAL FORMULA AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CLINICAL FORMULA FOR THE RELEVANT PRODUCT OR SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

13. Indemnification
You agree to defend, indemnify, and hold harmless Clinical Formula and its affiliates, officers, directors, employees, service providers, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your misuse of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

14. Dispute Resolution; Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND CLINICAL FORMULA AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND NOT IN COURT, EXCEPT THAT EITHER PARTY MAY BRING AN INDIVIDUAL CLAIM IN SMALL CLAIMS COURT IF IT QUALIFIES. YOU AND CLINICAL FORMULA WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. Arbitration shall be administered by the American Arbitration Association under its applicable consumer rules. The arbitrator shall have exclusive authority to resolve any dispute regarding the interpretation, applicability, or enforceability of this arbitration provision, except that a court of competent jurisdiction may determine the enforceability of the class action waiver. If Clinical Formula already uses another governing dispute process, replace this section with the existing approved brand language.

15. Governing Law
These Terms and any dispute arising out of or related to them shall be governed by the laws of the State of California, without regard to conflict-of-laws principles, except to the extent federal law, including the Federal Arbitration Act, applies.

16. Termination
We may suspend, limit, or terminate your access to the Services at any time if we believe you have violated these Terms, if the Services create risk for us or others, or for any other lawful reason. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, and dispute resolution.

17. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the updated version with a revised “Last Updated” date. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.
